Using our Services

Thanks for using our products and services (“Services”). The Services are provided by ITBOX Digital Solutions (“ITBOX”), located at TF-314, Siddharth Elegance, Old Chhani Rd, Vadodara, Gujarat 390002 India.

By using our Services, you are agreeing to these terms. Please read them carefully.

Our Services are very diverse, so sometimes additional terms or product requirements (including age requirements) may apply. Additional terms will be available with the relevant Services, and those additional terms become part of your agreement with us if you use those Services.

Please read our terms and conditions carefully, because we want to do business with a clear understanding without any confusion about work or payment.

Using our Services

You must follow any policies made available to you within the Services.

Don’t misuse our Services. For example, don’t interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access.

You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law.

These terms do not grant you the right to use any branding or logos used in our Services. Don’t remove, obscure, or alter any legal notices displayed in or along with our Services.

Our Services display some content that is not ITBOX’s. This content is the sole responsibility of the entity that makes it available. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. But that does not necessarily mean that we review content, so please don’t assume that we do.

In connection with your use of the Services, we may send you service announcements, administrative messages, and other information.

By using our services client automatically provide below rights to ITBOX Digital Solutions.

  • ITBOX Digital Solutions can use client information / Intellectual Property (logo, name, trademark etc) for advertising & Development purpose of the client
    on other platforms during the campaign time.
  • ITBOX Digital Solutions can use client information / Intellectual Property (logo, name, trademark etc) for Testimonial / Portfolio purpose on own platforms for a lifetime.

 

 

Your ITBOX Account

You may need an account in order to use some of our Services. You may create your own Account, or your Account may be assigned to you by an administrator, such as your business manager.

Account means an account in ITBOX or in other services provided by ITBOX like TheBizportal.

To protect your Account, keep your password confidential. You are responsible for the activity that happens on or through your Account. Try not to reuse your Account password on third-party applications. If you learn of any unauthorized use of your Account, contact us with details.

 

 

Your Content in our Services

Some of our Services allow you to upload, submit, store, send or receive content. You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.

When you upload, submit, store, send or receive content to or through our Services, you give ITBOX Digital Solutions (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with our Services), communicate, publish, publicly perform, publicly display and distribute such content.

The rights you grant in this license are for the limited purpose of operating, promoting, and improving our Services, and to develop new ones.

This license continues even if you stop using our Services (for example, for a business listing you have added to TheBizportal Business).

Some Services may offer you ways to access and remove content that has been provided to that Service. Make sure you have the necessary rights to grant us this license for any content that you submit to our Services.

Our automated systems analyze your content to provide you personally relevant product features, such as customized search results, tailored advertising. This analysis can occur as the content is sent, received, and when it is stored.

If you have an account, we may display your Profile name, Profile photo, and actions you take on ITBOX Digital Solutions or on third-party applications connected to your account in our Services, including displaying in ads and other commercial contexts.

You can find more information about how we use and stores content in the privacy policy or additional terms for particular Services. If you submit feedback or suggestions about our Services, we may use your feedback or suggestions without obligation to you.

 

 

Modifying and Terminating our Services

We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether.

You can stop using our Services at any time, although we’ll be sorry to see you go. ITBOX Digital Solutions may also stop providing Services to you, or add or create new limits to our Services at any time.

We believe that you own your data and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to get information out of that Service (we can ignore this process).

 

 

Our Warranties and Disclaimers

We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we don’t promise about our Services.

Other than as expressly set out in these terms or additional terms, neither ITBOX Digital Solutions nor its suppliers or distributors make any specific promises about the Services. For example, we don’t make any commitments about the content within the Services, the specific functions of the Services, or their reliability, availability, or ability to meet your needs. We provide the Services “as is”.

Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties.

 

 

Liability for our Services

When permitted by law, ITBOX Digital Solutions, and it’s suppliers and distributors, will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages.

To the extent permitted by law, the total liability of ITBOX Digital Solutions, and its suppliers and distributors, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Services (or, if we choose, to supplying you the Services again).

In all cases, ITBOX Digital Solutions, and its suppliers and distributors will not be liable for any loss or damage, that is not reasonably foreseeable.

We recognize that in some countries, you might have legal rights as a consumer. If you are using the Services for a personal purpose, then nothing in these terms or any additional terms limits any consumer legal rights which may not be waived by contract.

 

 

Business uses of our Services

If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify ITBOX Digital Solutions and it’s affiliated, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.

 

 

About these Terms

We may modify these terms or any additional terms that apply to a Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly. We can (or not) post notice of modifications to these terms on this page.

We can (or not) post notice of modified additional terms in the applicable Service. Changes will not apply retroactively and will become effective no sooner than six days after they are posted.

However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.

If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.

These terms control the relationship between ITBOX Digital Solutions and you. They do not create any third-party beneficiary rights.

If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).

If it turns out that a particular term is not enforceable, this will not affect any other terms.

You agree that the laws of Gujarat, India, will apply to any disputes arising out of or relating to these terms or the Services.

All claims arising out of or relating to these terms or the services will be litigated exclusively in state courts of Gujarat, India.

 

 

Web Designing & Development Terms

1. Definitions

In this document the following words shall have the following meanings:

“ISP” shall mean Internet Service Provider

“IPS” shall mean Internet Protocol Service

“DNS” shall mean Domain Name Server

“TLD” shall mean Top Level Domain

“FTP” shall mean File Transfer Protocol

“SEO” shall mean Search Engine Optimization

“PDC” Post-dated cheque

“ITBOX” shell means ITBOX Digital Solutions

“Agreement” means these Terms and Conditions together with any additionally agreed terms.

“Client” means the organization or person who purchases services from ITBOX Digital Solutions

These are the standard terms and conditions for Web Design and Development and apply to all contracts and all work was undertaken by ITBOX Digital Solutions for its clients.

2. Web Designing & Development Payment Obligations:

1. A 60% deposit of the total fee payable under our proposal is due immediately upon you instructing us to proceed with the website design and development work. The remaining 40% (needs to provide PDC at starting) shall become due when the work is completed to your reasonable satisfaction but subject to the terms of the “approval of work” and “rejected work” clauses. We reserve the right not to commence any work until the deposit has been paid in full.

2. The deposit is not refundable if the development work has been started and you terminate the contract through no fault of ours. Tax (GST) not refundable in any case.

3. If site design and development work have already begun (such as creating a design concept), then the deposit is non-refundable.

3. Supply of materials

1. You must supply all materials and information required by us to complete the work in accordance with any agreed specification. Such materials may include but are not limited to, photographs, written copy, logos and other printed material.

2. Where there is any delay in supplying these materials to us which leads to a delay in the completion of work,
We have the right to extend any previously agreed deadlines by a reasonable amount.

3. Where you (client) fail to supply material(s), and that prevents the progress of the work, we have the right to invoice you for any part or parts of the work already completed.

4. Variations / Revisions

We are pleased to offer you the opportunity to make revisions to the design. However, we have the right to limit the number of design proposals to a reasonable amount and may charge for additional designs if you make a change to the original design specification.
Our website development phase is flexible and allows certain variations to the original specification.
However, any major deviation from the specification will be charged at the rate of 99.00 Rs/hour.

5. Project delays and client liability

Any time frames or estimates that we give are contingent upon your full co-operation and complete and final content in photography for the work pages.
During development, there is a certain amount of feedback required in order to progress to subsequent phases. It is required that a single point of contact be appointed from your side and be made available on a daily basis in order to expedite the feedback process.

6. Approval of work

On completion of the work, you will be notified and have the opportunity to review it. You must notify us in writing of any unsatisfactory points within 6 business days of such notification.

Any of the work which has not been reported in writing to us as unsatisfactory within the 6 business day review period will be deemed to have been approved.

Once approved, or deemed approved, work cannot subsequently be rejected and the contract will be deemed to have been completed and the 40% balance (PDC) of the project price will be deposited.

7. Rejected work

If you reject any of our work within the 6 business day review period, or not approve subsequent work performed by us to remedy any points recorded as being unsatisfactory, and we, acting reasonably, consider that you have been unreasonable in any rejection of the work, we can elect to treat this contract as at an end and take measures to recover payment for the completed work.

8. Payment

Upon completion of the 6 business day review period, we will deposit 40% balance PDC.

9. Search engines (SEO)

We do not guarantee any specific position in search engine results for your website. we will not do any SEO work.

10. Subcontract

We reserve the right to subcontract any services that we have agreed to perform for you.

11. Additional expenses

You agree to reimburse us for any requested expenses which do not form part of our proposal including but not limited to the purchase of templates, third-party software, stock photographs, fonts, web hosting and domain name registration or comparable expenses.

12. Backups

You are responsible for maintaining your own backups with respect to your website and we will not be liable for restoring any client data or client websites except to the extent that such data loss arises out of a negligent act or omission by us.

13. Ownership of Domain name and Web Hosting

We will supply to you (client) account credentials for domain name registration that we purchased on your behalf when you reimburse us for any expenses that we have incurred.

Hosting Transfer Payment Obligations:

If you wish to transfer your hosting to another provider ITBOX Digital Solutions can Provide access details hosting (or backup), ITBOX Digital Solutions will not provide any service of transfer.

14. Sites NOT Hosted by ITBOX Digital Solutions

Should the client decide to host their site on another server, ITBOX Digital Solutions cannot guarantee, that all elements of the site will work.

ITBOX Digital Solutions will make a reasonable effort to research the problem on the foreign platform to let the client know what ITBOX Digital Solutions think the problem is.

However, ITBOX Digital Solutions cannot take responsibility for problems caused by or on another hosting server, including but not limited to email, FTP, SSL, database, server software, and site security issues.

If ITBOX Digital Solutions believes it will take a significant amount of time to fix the problem, ITBOX Digital Solutions will advise the client before proceeding. In most cases, fixing problems on a foreign hosting server is billable.

15. E-commerce

You are responsible for complying with all relevant laws relating to e-commerce, and to the full extent permitted by law will hold harmless, protect, and defend and indemnify,

ITBOX Digital Solutions and its subcontractors not responsible for any claim, penalty, tax, tariff loss or damage arising from your or your clients’ use of Internet electronic commerce.

16. Non-Domain-Based Troubleshooting

The website maintains and troubleshoots the websites we develop for our clients, as well as any domain-based email accounts of those websites.

We do NOT assume responsibility for upkeep or provide non-billable troubleshooting on our clients’ ISPs (Internet Service Providers), ISP-based email accounts ([email protected], [email protected], etc), your home or office internet connections, or any other non-domain-based issues outside Web Development’s realm of service. Provision of non-domain-based troubleshooting services will be billable at our normal hourly rate.

 

 

Online / Social Media Advertising Terms

1. Responsibility

ITBOX Digital Solutions is not responsible for Any/All Things/Disputes/Problems of third party Product/Services promoted by us.

Third-party/Manufacturer/Service provider is directly responsible for all things.

2. iWebTraffic / Search Ads

2.1 Guarantee

  • We do not provide any guarantee of a fixed amount of web traffic on the client website.
  • We do not provide any guarantee of a fixed amount of web traffic in a fixed time period.
  • We do not provide any guarantee of Clicks, Views, Register, Downloads or any other actions in the client website.

2.2 Rights

  • We will try to generate relevant traffic for the client website using one or multiple platforms. We have rights to choose platforms. a client does not have the rights to choose platforms.

2.3 Reporting

  • We do not provide any report after campaign completion, We are unable to provide any data like Clicks, Cost per click, Cost per action, Cost per view, total spend amount.
  • If a client wants we can provide total reach (Views) of the campaign.
  • Client needs to set up Google Analytics on his website for verification (Reporting) of the campaign.
  • Client needs to provide access of Google Analytics to us for our verification & iWebTraffic.clientwebsite.com subdomain.
  • Client needs to accept, all traffic reported by Google Analytics form iWebTraffic.itboxdigitalsolutions.com is generated by us.

2.4 Strategy

  • We don’t provide a strategy of web traffic campaign.

2.5 Payment

  • 100% Advance (non-refundable in any case)

3. iSMPO / Social Media Management / Social media Advertising

3.1 Guarantee

  • We do not provide any guarantee of a fixed amount of Likes, Views, Reach, Clicks, Share, Comments etc.
  • We do not provide any guarantee of a fixed amount of actions (like, reach etc…) in a fixed time period.
  • We do not provide any guarantee of Clicks, Views, Register, Downloads or any other actions in the client website & client social page.

3.2 Rights

  • We will try to generate actions for the client social page using one or multiple, methods. We have rights to choose a method. a client does not have the rights to choose a method.

3.3 Reporting

  • We do not provide any report after campaign completion, We are unable to provide any data like Cost per action, Cost of reach, Cost of Likes, Total spend amount etc….
  • Client needs to use social platforms analytics (reporting) tool for campaign measurement.
  • Client needs to provide access of Social page to us.
  • Client needs to accept, all traffic reported by analytics (reporting) tool is generated by us.

3.4 Strategy

  • We don’t provide a strategy of any campaign.

3.5 Payment

  • 100% Advance (non-refundable in any case)

3.6 Licence

  • We create all post using licensed media, only if the client allows us to insert our #tag in the post, if the client removes our #tag in the future, a licence of media will be invalid.

3. iVideoAds / Video Ads

3.1 Guarantee

  • We do not provide any guarantee of a fixed amount of Likes, Views etc.
  • We do not provide any guarantee of a fixed amount of actions (like, reach etc…) in a fixed time period.

3.2 Rights

  • We will try to generate views for the client video using one or multiple, methods. We have rights to choose a method. a client does not have the rights to choose a method.

3.3 Reporting

  • We do not provide any report after campaign completion, We are unable to provide any data like Cost per view, Cost of Likes, Total spend amount etc….
  • Client needs to use platforms analytics (reporting) tool for campaign measurement.
  • Client needs to provide us with HD Video, or YouTube Video link.
  • Client needs to accept, all traffic reported by analytics (reporting) tool is generated by us.

3.4 Strategy

  • We don’t provide a strategy of any campaign.

3.5 Payment

  • 100% Advance (non-refundable in any case)
